Venue House Terms of Service
Effective Date: April 7, 2025
These Terms of Service (the “Agreement” or “Terms”) form a legally binding agreement between Noho Projects LLC d/b/a Venue House (“Venue House,” “we,” “us,” or “our”) and you, the user of our website, services, and subscription platform located at https://venuehouse.co (the “Site”).
By accessing or using the Site or subscribing to any of the services provided by Venue House, you agree to these Terms. If you do not agree to them, please do not use the Site or our services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using the Site, you represent that you meet these eligibility requirements.
2. Subscription Services
Venue House provides digital services and tools through a subscription-based platform.
a. Billing & Payment
By subscribing, you authorize Venue House (and our third-party payment processor) to charge your payment method on a recurring basis according to your selected plan (monthly, annually, etc.). All fees are disclosed at checkout.
b. Auto-Renewal
All subscriptions automatically renew at the end of each billing cycle unless you cancel prior to renewal. You can manage your subscription through your account or contact us at hello@venuehouse.co.
c. Cancellation & Refunds
You may cancel your subscription at any time. However, we do not provide refunds or credits for any partial subscription periods, unless required by law.
d. Free Trials & Promotions
If offered, free trials and promotional access are subject to their own terms. Unless canceled, you will be charged at the end of any trial period.
3. Account Registration
You may need to register for an account to access parts of the Platform. You agree to:
Provide accurate and current information,
Maintain the security of your login credentials,
Accept responsibility for all activity under your account.
4. Acceptable Use
You agree not to:
Use the Platform for unlawful purposes,
Copy, scrape, or redistribute content without permission,
Disrupt or interfere with the Site or security systems,
Misrepresent your identity or affiliation.
5. Changes to Services
We may modify, suspend, or discontinue features or services at any time, without notice. We are not liable for any modification or termination of services.
6. Intellectual Property
All content on the Site—including designs, logos, text, graphics, and software—is owned or licensed by Venue House and protected under intellectual property laws. You may not reuse or distribute any materials without express permission.
7. Privacy Policy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your personal information.
8. Termination
We may suspend or terminate your access to the Site at our discretion, including for violations of these Terms. You may also terminate your account at any time.
9. Disclaimers
The Site and services are provided “as is” and “as available” without warranties of any kind. Venue House disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Venue House shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, data, or use. Our total liability is limited to the amount paid by you in the 12 months prior to the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Venue House, its officers, directors, and affiliates from any claims, damages, liabilities, or expenses arising out of your use of the Site or violation of these Terms.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
In the event of any dispute between you and Venue House (“Dispute”), you agree to first contact us at hello@venuehouse.co and make a good faith effort to resolve the issue informally. If we are unable to resolve the Dispute within a reasonable time, you and Venue House agree that exclusive jurisdiction and venue for the Dispute shall lie in the state courts of Florida and the federal courts of the Middle District of Florida, and you hereby consent to the personal jurisdiction of such courts.
13. Modifications to These Terms
We may update these Terms from time to time. The revised Terms will be effective upon posting. Continued use of the Site means you accept the updated Terms.
